1. Acceptance and scope
Welcome to Viabells. These Terms of Use (the “Terms”) govern your access to and use of our website, its content, enquiry forms and related website interactions. “Viabells”, “we”, “us” and “our” refer to the operator of this website; “you” and “your” refer to the person using it.
By accessing or using the website, you agree to these Terms to the extent permitted by applicable law. If you do not agree with any part of these Terms, please stop using the website. You may save or print a copy for your records.
These Terms concern website use. Paid integration, automation, development, consulting and support services are governed by the separate proposal, statement of work or service agreement accepted for your project. If that agreement conflicts with these Terms about the services, that agreement takes precedence for those services.
2. Eligibility and authority
You must have the legal capacity to enter into any agreement you make through your interactions with us. If you use the website or submit information on behalf of an organisation, you confirm that you have permission to do so and to provide the information you submit.
You are responsible for ensuring that people using the website through your devices or connections are aware of these Terms. Access from outside Singapore is at your initiative; you are responsible for complying with local laws that apply to your use.
3. Information, enquiries and services
The website describes our capabilities and possible ways to connect business applications. Submitting an enquiry, receiving an automated acknowledgement or discussing a possible project does not, by itself, create a contract for services or an obligation for either party to proceed.
Website pricing, starting prices, delivery estimates and package descriptions are indicative unless expressly stated otherwise in an offer we intend to be binding. Availability, final scope, fees, taxes, payment terms, dependencies and delivery dates will be confirmed in the applicable project agreement. Delivery estimates depend on the agreed scope, timely access, required approvals and third-party platform capabilities.
Unless expressly included in an agreed scope, third-party subscriptions, usage charges, licences, ongoing maintenance and changes after delivery are not included in a project price. Ownership of deliverables, acceptance criteria, warranties and support commitments will also be set out in the project agreement.
4. Intellectual property rights
Except where otherwise identified, the website and its text, graphics, illustrations, logos, images, audio, video, design, software and other materials belong to Viabells or our licensors and are protected by applicable intellectual property laws.
You may view the website, share links to it, and download or print reasonable extracts for personal reference or internal business evaluation. You must retain copyright and other ownership notices and must not present our materials as your own or imply that we endorse you.
Except for these permitted uses, permission we give in writing or rights granted by law, you must not modify, reproduce, distribute, transmit, display, perform, sell, republish or create derivative works from website materials. Access to the website does not transfer intellectual property rights to you.
Third-party names, logos, trademarks and platform materials remain the property of their respective owners. Their appearance identifies relevant systems and does not, by itself, establish a partnership, certification or endorsement.
5. Acceptable use
You agree to use the website lawfully and in a manner that respects other people’s rights and does not restrict their use or enjoyment of it. In particular, you must not:
- Use the website for fraud, impersonation, harassment or other illegal activity.
- Submit unlawful, defamatory, infringing, threatening or deliberately misleading material, or unsolicited advertising and spam.
- Introduce malicious code, interfere with normal operation, overload the website or attempt a denial-of-service attack.
- Access systems or data without authorisation, bypass access restrictions, or attempt to obtain another person’s credentials.
- Use automated collection tools in a way that bypasses restrictions, infringes rights or materially disrupts the website.
- Misrepresent an affiliation with Viabells or use our identity to deceive another person.
Nothing in this section prevents activity expressly permitted by applicable law. Permission to access public pages does not authorise access to non-public systems, administrative interfaces or another person’s information.
6. Your submissions
You are responsible for the accuracy and lawfulness of information, comments, suggestions, files and other material you submit. You confirm that you own the material or have the permissions necessary to share it for the stated purpose, including permissions required for another person’s personal information.
Please keep your contact details current if you expect a response. Do not submit passwords, private keys, API tokens, payment-card details, identity documents or sensitive customer records through a general enquiry form. If a project requires credentials or sensitive information, we will agree an appropriate method for sharing them.
We may decline an enquiry or remove submitted material where reasonably necessary to address unlawful content, infringement, security concerns or a breach of these Terms. We are not obliged to publish submissions or act on suggestions.
7. Content and feedback licence
You retain ownership of your submissions. For enquiry details and business materials, you grant us a non-exclusive, worldwide, royalty-free licence to receive, store, reproduce and use them only as reasonably necessary to assess and respond to your enquiry, communicate with you, fulfil an agreed service or meet legal obligations. This includes use by service providers acting for us for those purposes, subject to appropriate confidentiality and data protection requirements.
If you voluntarily provide non-confidential suggestions or general feedback about our website or services, you grant us a non-exclusive, worldwide, royalty-free, perpetual and irrevocable licence to use, reproduce, modify, adapt, translate and incorporate that feedback into improvements to our website and services, to the extent permitted by law. We have no obligation to implement it or provide compensation. This licence does not override personal data rights or separately agreed confidentiality obligations.
We will obtain your permission before publishing a testimonial attributed to you, identifying you as a client, or using confidential project materials in a case study or marketing campaign. Merely submitting an enquiry does not authorise public or marketing use of your personal details or business information.
8. Privacy and confidentiality
Our Privacy Policy explains how we handle personal information, including information submitted through website forms. Please read it alongside these Terms. These Terms do not constitute unrestricted consent to use personal information or override rights under applicable data protection law.
Before sharing information belonging to someone else, make sure you have the necessary authority and have provided any required information about the disclosure. Where possible, describe the workflow rather than sharing identifiable customer data.
A website enquiry does not, by itself, establish a non-disclosure agreement. Please contact us to agree confidentiality arrangements before sharing commercially sensitive material. This does not remove confidentiality or data protection obligations that already apply by law or by a separate agreement.
For questions or requests concerning your personal information, contact contact@viabells.com.
9. Third-party websites and platforms
The website may link to third-party websites, documentation, applications or resources. These links are provided for convenience. We do not control their content, availability, security, policies or practices, and a link does not constitute an endorsement unless expressly stated.
We are not responsible for third-party advertising, products, materials or services merely because they are linked from our website. Your use of external resources is subject to their providers’ own terms, privacy policies, charges and access requirements. You are responsible for reviewing those requirements and maintaining subscriptions and permissions your business needs.
Application features, native connectors, APIs, rate limits and access plans may change. Compatibility and feasibility must be assessed for the accounts and workflow involved. Any responsibility we accept for third-party dependencies in a commissioned project will be described in the project agreement.
10. Examples and portfolio content
Workflow illustrations and example app combinations show possible approaches. They do not guarantee that every illustrated workflow is available for every account, subscription tier or business requirement.
Demonstrations are illustrative. Case studies describe the circumstances of the particular project shown; results for another business may differ. Measured outcomes apply to the project and context identified rather than representing a promise of future performance.
11. Website availability
We aim to keep the website useful and available, but access may be interrupted by maintenance, updates, network issues or events beyond our control. We may update, replace or withdraw website content or functionality where reasonably necessary.
We do not promise uninterrupted access, permanent availability of any page or error-free operation. Website changes do not alter commitments in an existing project agreement. You are responsible for keeping your own copies of important communications and documents.
12. Security and incident reporting
No website or internet transmission can be guaranteed completely secure. Use appropriately protected devices and take reasonable care when sharing information online.
If you notice a suspected vulnerability, fraudulent message or misuse of our website, please report it to contact@viabells.com with enough information for us to investigate. Do not include exposed credentials or unnecessary personal data in your report. Reporting an issue does not authorise further access, exploitation or disruptive testing.
13. Disclaimer of warranties
We make reasonable efforts to present accurate and current information. Nevertheless, website content may contain errors, omissions or information that has become outdated. Please contact us to confirm details relevant to a purchasing or implementation decision.
To the extent permitted by applicable law, the website and its content are provided “as is” and “as available”, without express or implied warranties concerning accuracy, completeness, reliability, timeliness, availability, fitness for a particular purpose or freedom from harmful components. You use the website at your own risk, subject to rights and protections that cannot lawfully be excluded.
General website information is not legal, tax, accounting, regulatory or other professional advice. Obtain advice appropriate to your circumstances before relying on an example workflow for a regulated or business-critical activity.
These disclaimers do not remove rights or warranties that cannot lawfully be excluded and do not replace express warranties we provide in a separate service agreement.
14. Limitation of liability
Nothing in these Terms excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or restricted. Any exclusion or restriction applies only to the extent permitted by law and, where required, only insofar as it satisfies the applicable requirement of reasonableness.
Subject to those qualifications, Viabells and its affiliates, partners and suppliers will not be liable for indirect, incidental, special, consequential or punitive loss or damage arising from your use of, or inability to use, this website, including loss of profits, business opportunities, anticipated savings, goodwill or data where such loss is indirect or consequential, even if the possibility of that loss was communicated to us.
Responsibility for losses related to commissioned services, deliverables or support is governed by the applicable service agreement and mandatory law. This website liability clause does not expand exclusions under that agreement or remove a remedy required by law.
15. Suspension and termination
We may restrict or suspend website access where reasonably necessary to protect the website or other users, address a breach of these Terms, investigate suspected unlawful activity or comply with a legal obligation. Where appropriate and practicable, we will provide notice or an opportunity to resolve the issue.
You may stop using the website at any time. Ending website access does not automatically terminate a separate project agreement. Provisions that by their nature should continue, including intellectual property, applicable content licences, liability and dispute provisions, continue to apply subject to law.
16. Changes to these Terms
We may update these Terms to reflect changes to the website, our business practices or legal requirements. The updated version and its revision date will be posted on this page. Unless a later date is specified or applicable law requires otherwise, changes take effect when posted and apply to subsequent website use.
For material changes, we will take reasonable steps to draw attention to the update on the website where practicable. Please review these Terms periodically. If you do not agree with the updated version, stop using the website. Updates do not retrospectively change accrued rights or amend a separate service agreement without the agreement or process required for that contract.
17. Electronic communications
When you contact us electronically, we may respond using the contact details you provide. Keep those details accurate and check your email, including spam folders, for replies. An automated receipt confirms submission only and does not confirm acceptance of a project.
Providing your email for an enquiry does not, by itself, give unrestricted permission for marketing messages. Marketing communications remain subject to applicable consent, notification and opt-out requirements.
18. Governing law and disputes
These Terms and disputes arising from website use are governed by the laws of Singapore, without regard to conflict-of-laws principles, subject to mandatory protections that apply to you and cannot be excluded.
The courts of Singapore have non-exclusive jurisdiction over disputes relating to these Terms. This does not prevent you from exercising a right to bring proceedings elsewhere where applicable law gives you that right.
If an issue arises, we encourage you to contact us first so that we can try to resolve it in good faith. This is not a condition that prevents urgent relief, statutory complaints or exercise of your legal rights.
19. General provisions
If a provision is found invalid or unenforceable, it will apply to the extent permitted by law, and the remaining provisions will continue in effect where they can operate independently. A delay or failure to enforce a provision does not, by itself, waive the right to enforce it later.
These Terms form the agreement about website use, alongside notices expressly applicable to a particular website feature. They do not override a separate project agreement, confidentiality agreement or mandatory legal rights.
No agency, partnership, joint venture or employment relationship is created merely by using the website. Headings are provided for convenience and do not change the meaning of the provisions.
20. Contact us
For questions about these Terms, requests concerning website materials, or concerns about website use, contact Viabells at contact@viabells.com.
For a new integration or automation request, you can also use our enquiry form. Include enough context for us to understand your request without sending sensitive credentials or confidential customer records.
